1. Acceptance of These Terms

By accessing overdrivehq.com, any related landing page, the BizScoreIQ web application, or any other product, service, or communication channel operated by Overdrive HQ LLC (“Overdrive HQ,” “we,” “our,” “us”), you (“you,” “your,” or “User”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use our Services.

2. Eligibility

You must be at least 18 years old and legally able to form contracts.

You represent that the information you provide is accurate, complete, and not misleading.

Consulting & Facilitation: We help business owners identify funding opportunities, prepare applications, and build credit.

Not a Lender: Overdrive HQ is not a bank, lender, broker-dealer, legal firm, or tax advisor. We do not extend credit ourselves and we do not provide legal, tax, or investment advice.

No Guarantee: Approval decisions, credit limits, interest rates, and funding timelines are determined by third-party institutions and are not guaranteed.

4. Account Registration

You may need to create an account. You are responsible for safeguarding login credentials and for all activity occurring under your account.

5. Permitted and Prohibited Conduct

You agree not to:

Use the Services in violation of any law, regulation, or these Terms.

Upload or transmit viruses, malware, or any harmful code.

Reverse-engineer, decompile, or attempt to extract source code.

Misrepresent your identity or provide false information.

Use scraping, bots, or other automated methods without our prior written consent.
We reserve the right to suspend or terminate access for any violation.

6. Intellectual Property

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for business purposes in accordance with these Terms.

No other rights are granted—especially no rights to reproduce, distribute, or create derivative works without express permission.

By posting, uploading, or transmitting content to us, you grant Overdrive HQ a worldwide, royalty-free license to use, display, reproduce, and distribute that content to provide or promote the Services.

You warrant that you have all necessary rights to grant this license and that your content does not infringe any third-party right.

8. Third-Party Services and Links

Our Services may link to or integrate with sites and services not owned or controlled by Overdrive HQ. We are not responsible for their practices, content, or availability. Your interaction with any third-party is solely between you and that third-party.

By providing your phone number, you opt in to receive SMS or MMS messages relating to your account, funding status, promotions, and support. Message frequency may vary.

10. Disclaimers

AS-IS / AS-AVAILABLE. The Services are provided “as is” and “as available.” We disclaim all warranties—express, implied, or statutory—including warranties of merchantability, fitness for a particular purpose, noninfringement, and accuracy.

11. Limitation of Liability

To the fullest extent permitted by law, Overdrive HQ, its officers, employees, agents, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or revenues, whether incurred directly or indirectly, even if we have been advised of the possibility of such damages. Our total cumulative liability shall not exceed one hundred U.S. dollars (US $100) or the amount you paid us in the past six months, whichever is greater.

Sections that by their nature should survive termination (e.g., intellectual-property rights, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution) shall survive.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflicts-of-law rules.

15. Dispute Resolution and Arbitration

Arbitration Agreement: Any dispute arising from these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Class-Action Waiver: Disputes must be brought on an individual basis and not as a class or representative action.

Opt-Out: You may opt out of arbitration by sending written notice to [email protected] within 30 days of your first acceptance of these Terms.
